Supplier Code of Conduct

At MGI Tech Co., Ltd. and its subsidiaries (referred to as “MGI,” “we,” “us,” or “our”), we are committed to upholding the highest ethical standards across our operations and supply chains. We expect all of our suppliers to adhere to applicable laws and comply with the principles outlined in this Code, ensuring that these standards are followed within their operations and throughout their own supply chains.

We reserve the right to conduct due diligence and risk assessments to verify compliance with this Code. We expect our suppliers to cooperate fully and provide necessary evidence to support our monitoring efforts. This Code applies to both new and existing suppliers, and compliance is a key factor in our supplier evaluation, selection, and contract management processes. A breach of the Code or repeated failure to supply requested information may result in the suspension or termination of our business relationship with the supplier.

This Code may be periodically reviewed and updated. We also reserve the right to interpret the terms outlined in it.

Business Integrity
Suppliers must act ethically and with integrity at all times, comply with all applicable laws regarding the prevention of bribery, corruption, fraud, tax evasion, money laundering, and related activities. Suppliers must identify and report any potential conflicts of interest to us, avoiding any appearance of conflicts in dealings with us. Any unavoidable conflicts of interest must be disclosed and properly managed. Suppliers must ensure compliance with all relevant customs, trade controls, and sanctions laws and regulations, provided that compliance does not violate mandatory laws applicable to the supplier.

Intellectual Property, Privacy, and Confidentiality
Suppliers must respect and protect intellectual property rights. Suppliers must safeguard the privacy of personal information and comply with relevant privacy, data protection, and cybersecurity laws and regulations. They must implement appropriate security measures to ensure personal, confidential, and proprietary information is securely stored, disclosed only on a need-to-know basis, and used for authorized purposes. Suppliers must protect personal information, confidential information, and trade secrets that they access in the course of providing goods and services to us.

Labour and Human Rights
We believe all workers deserve to be treated with dignity and respect. Suppliers must comply with all relevant laws and regulations concerning wages, benefits, working hours, and other employment rights within the countries they operate. They must implement adequate measures to identify, prevent, and address modern slavery and other human rights violations in their operations and supply chains. Suppliers must refrain from using forced, compulsory, or trafficked labour or child labour in any form. Suppliers must ensure that workers under the age of 18 are not exposed to hazardous work, including night shifts or overtime. Suppliers must prohibit harassment, abuse, corporal punishment, and inhumane treatment of workers. Suppliers must maintain equal opportunities for all workers and avoid discrimination based on age, disability, ethnicity, gender, marital status, political views, race, religion, sexual orientation, gender identity, union membership, or any other legally protected characteristic. Suppliers must ensure that any tantalum, tin, tungsten, and gold sourced from the Democratic Republic of Congo or surrounding countries are free from human rights abuses during extraction and processing. Suppliers must provide due diligence documentation when requested. Suppliers must provide workers with access to a grievance mechanism where they can report concerns without fear of retaliation or harassment.

Health and Safety
Suppliers must maintain a safe working environment and adhere to all applicable health and safety regulations in the countries they operate. They should effectively manage workplace hazards and provide necessary training to ensure that employees can perform their tasks safely and healthily.

Environmental Sustainability
At MGI, we are dedicated to sustainable business practices that minimize our environmental impact. Suppliers must comply with all environmental regulations and strive to reduce resource consumption, minimize carbon emissions, and enhance energy efficiency in their operations.
